Terms of Service

These Terms of Service (“Terms”) govern your access to and use of ActLinter (“Service”), operated by ActLinter Ltd (“Company,” “we,” “us,” or “our”). By accessing or using the Service you agree to be bound by these Terms.

Important Notice — Not Legal Advice

ActLinter is an informational tool only. The compliance analysis, risk assessments, and reports generated by the Service are produced by automated AI systems and do not constitute legal advice, legal opinions, or binding determinations under the EU AI Act or any other applicable law or regulation. No attorney-client relationship is formed by your use of the Service. You should always consult a qualified legal professional before making decisions based on the Service’s output.

1. Eligibility and Acceptance

You must be at least 18 years of age and have the legal authority to enter into binding contracts to use the Service. If you are using the Service on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms.

Your continued use of the Service constitutes your acceptance of any updates to these Terms. We will provide reasonable notice of material changes by updating the “Last Updated” date above and, where appropriate, by email.

2. Description of Service

ActLinter provides automated AI-powered analysis of documentation submitted by users against the requirements of Regulation (EU) 2024/1689 (the EU AI Act) and related standards. The Service processes uploaded documents, applies classification logic, and generates structured compliance reports.

The Service is provided on an “as-is” and “as-available” basis. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

3. No Legal Advice

The Service does not provide legal advice. Output generated by the Service — including compliance scores, risk classifications, gap analyses, and remediation suggestions — is produced by large language model inference and reflects a probabilistic interpretation of publicly available regulatory text. Such output:

  • may contain errors, omissions, or outdated interpretations;
  • is not reviewed by qualified legal counsel prior to delivery;
  • does not constitute a legal opinion on your AI system’s regulatory status;
  • cannot be relied upon as the sole basis for regulatory filings or compliance certifications.

We expressly disclaim any liability arising from reliance on the Service’s output as legal advice.

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorised access. We will not be liable for any loss arising from your failure to safeguard your credentials.

5. Acceptable Use

You agree not to:

  • submit documents containing personal data of third parties without a lawful basis under GDPR;
  • reverse-engineer, scrape, or systematically extract data from the Service;
  • use the Service to generate content that is unlawful, fraudulent, or misleading;
  • attempt to circumvent rate limits, access controls, or billing mechanisms;
  • re-sell or sub-license access to the Service without our prior written consent.

6. Intellectual Property

Your Content

You retain full ownership of all documents and information you upload to the Service (“User Content”). By submitting User Content, you grant us a limited, non-exclusive, royalty-free licence solely to process and analyse that content for the purpose of delivering the Service to you during the applicable session. We do not acquire any ownership rights over your documents.

Our Content

All software, interfaces, report templates, branding, and underlying models comprising the Service are and remain the exclusive property of ActLinter Ltd or its licensors. You may not reproduce, distribute, or create derivative works from any part of the Service without our express written permission.

Report Output

Compliance reports generated by the Service in response to your User Content are licensed to you for your internal business purposes. You may share such reports with third parties (e.g., auditors, regulators) provided you include a notice that the report was generated by an automated tool and does not constitute legal advice.

7. Payment Terms

Fees

Certain features of the Service are offered on a paid basis. All fees are stated in United States Dollars (USD) and are exclusive of applicable taxes (including VAT). You authorise us to charge the payment method on file for all applicable fees.

No Refunds for Consumed AI Compute

Because each audit request immediately consumes irreversible AI compute resources (large language model inference, PDF processing, report generation), all fees are non-refundable once an audit has been initiated, regardless of whether you are satisfied with the output. Refunds may be granted at our sole discretion in cases of documented technical failure attributable solely to the Service.

Subscription Plans

Subscription fees are billed in advance on a monthly or annual cycle. You may cancel at any time; cancellation takes effect at the end of the current billing period and you will retain access until that date. No pro-rata refunds are issued for partial periods.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall ActLinter Ltd, its directors, employees, contractors, or licensors be liable for any indirect, incidental, special, exemplary, consequential, or punitive damages — including loss of profits, data, or business — arising out of or relating to your use of or inability to use the Service.

Our total aggregate liability to you for any claims arising under or in connection with these Terms or the Service shall not exceed the total fees paid by you to ActLinter Ltd in the twelve (12) calendar months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be excluded under applicable law, including liability for fraud, wilful misconduct, or death or personal injury caused by negligence.

9. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including without limitation implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that defects will be corrected.

10. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Ireland, without regard to conflict-of-law principles. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Dublin, Ireland, except where mandatory consumer protection laws of your country of residence provide otherwise.

11. Changes to These Terms

We reserve the right to update these Terms at any time. For material changes, we will provide at least 14 days’ advance notice via the email address associated with your account or via an in-app notification. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
